Terms of Service

1. Introduction & Acceptance
These Terms of Service ("Terms") govern your use of the Agento platform operated by Remsys, Inc. ("Agento", "we", "us", or "our") at agento.host.
By creating an account or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
You must be at least 18 years old to use Agento. By using our services, you represent that you are at least 18 years of age.

2. Description of Service
Agento is a managed hosting platform for AI agents. We provide infrastructure for deploying and running OpenClaw agents and other compatible AI workloads.
Our infrastructure is provided by Hetzner. By using Agento, you also agree to comply with Hetzner's terms and acceptable use policies.
3. Account Registration
When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain only one account per person or entity
- Keep your account credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Be responsible for all activities that occur under your account
We reserve the right to suspend or terminate accounts that contain false information or are used fraudulently.
4. Acceptable Use Policy
Zero Tolerance Policy
Agento maintains a zero-tolerance policy for abuse. Violations of our Acceptable Use Policy result in immediate account termination without notice, refund, or appeal.
Prohibited Activities
You may not use Agento for any of the following:
Spam & Bulk Email
Sending unsolicited bulk emails, spam, or any form of unwanted mass communications. This is our strictest enforcement area with immediate termination.
Unauthorized Scraping
Unauthorized web scraping, data harvesting, or crawling of third-party websites in violation of their terms of service.
Malware & Botnets
Distribution of malware, viruses, trojans, or operation of command and control infrastructure for botnets.
DDoS & Network Attacks
Participating in or launching denial-of-service attacks, port scanning, or any activity that disrupts network services.
Cryptocurrency Mining
Running cryptocurrency miners or any proof-of-work computation. This is explicitly prohibited per our infrastructure provider's policies.
Phishing & Fraud
Operating phishing sites, impersonating other entities, or engaging in fraudulent activities.
Unauthorized Access
Attempting to gain unauthorized access to systems, networks, or data. This includes credential stuffing, brute force attacks, and exploitation of vulnerabilities.
Harassment & Abuse
Threatening, harassing, or targeting individuals. Using agents to stalk, intimidate, or harm others.
Illegal Content
Hosting, generating, or distributing illegal content, including but not limited to CSAM, pirated content, or content that violates applicable laws.
Adult Content
Hosting or generating pornographic or sexually explicit material.
Resource Abuse
Circumventing resource limits, billing mechanisms, or engaging in activities designed to abuse our infrastructure.
Open Proxies & Tor Exit Nodes
Operating open proxies, VPN endpoints for anonymization, or Tor exit nodes.
Your Responsibilities
As a user of Agento, you are responsible for:
- Monitoring the behavior of your AI agents
- Securing your API keys, credentials, and secrets
- All actions taken by your agents, including content they generate and communications they send
- Complying with all applicable laws and regulations
Cascading Compliance
You must also comply with the terms of our infrastructure providers, including Hetzner's Acceptable Use Policy. Any activity that could result in action against our infrastructure constitutes a violation of these Terms.
Agent Responsibility
You are fully responsible for all actions taken by your AI agents, including content they generate, data they access, and communications they send. Agents that violate these Terms are treated as violations by you.
5. Payment & Billing
No Refunds Policy
All fees are non-refundable. This includes prepaid credits, subscription fees, and usage charges. We do not offer refunds for any reason, including service dissatisfaction, unused time, or early cancellation.

- Subscriptions automatically renew unless cancelled before the renewal date
- Failed payments may result in immediate service suspension
- You are responsible for any taxes applicable in your jurisdiction
- We may change pricing with 30 days notice
6. Account Termination
Termination by You
You may cancel your account at any time through the dashboard. Upon cancellation, your agents will be stopped and your data will be deleted according to our data retention policy. No refunds are provided for unused time or credits.
Termination by Agento
We may terminate or suspend your account:
- Immediately and without notice for violations of our Acceptable Use Policy
- With 30 days notice for other reasons, such as discontinuation of service
We may terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms or our Acceptable Use Policy. Upon termination for abuse, all remaining credits and prepaid amounts are forfeited. There is no appeals process for abuse violations.
7. Intellectual Property
Our Property: Agento, including the platform, website, branding, and all related intellectual property, belongs to Remsys, Inc. You may not copy, modify, or create derivative works without our permission.
Your Property: You retain ownership of any code, data, or content you upload to Agento. By using our service, you grant us a limited license to host, run, and display your content as necessary to provide the service.
Feedback: Any feedback, suggestions, or ideas you provide about Agento may be used by us without compensation or attribution.
8. Disclaimers & Warranties
AGENTO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee:
- Uninterrupted or error-free service
- Any specific uptime percentage (though we make commercially reasonable efforts)
- That the service will meet your specific requirements
- The accuracy or reliability of any information obtained through the service
- That defects will be corrected
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Cost of substitute services
- Any damages arising from the behavior of your AI agents
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Agento and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the service or the actions of your AI agents
- Your violation of these Terms
- Your violation of any third-party rights
- Any content or data you upload or generate through the service
- Any illegal activity conducted through your account
11. Dispute Resolution
Informal Resolution
Before filing any formal dispute, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration
If informal resolution fails, any dispute shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in Austin, Texas.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought in the state or federal courts located in Austin, Texas.
12. Changes to Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days notice by email or through the service.
Your continued use of Agento after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the service and close your account.
13. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agento.
- Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms. We may assign our rights to any successor.
- Force Majeure: We are not liable for delays caused by circumstances beyond our reasonable control.
